These Terms of Service ("Terms") govern access to and use of the Yirar websites and software services offered by Yirar("Yirar", "we", "us"). By creating an account, clicking to accept, or using the Services, you agree to these Terms.

1. The Services

Yirar provides online collaboration and execution tools, including workspaces, goals and issues, boards or mind maps, comments, attachments, and optional AI-assisted features. We may change, suspend, or discontinue features with reasonable notice where practicable.

2. Eligibility and accounts

You must provide accurate registration information and safeguard your credentials. You are responsible for activity under your account. If you use organisational SSO or invitations, your administrator may apply additional rules.

3. Customer content

You retain ownership of content you submit ("Customer Content"). To operate the Services, you grant Yirar a limited, worldwide licence to host, copy, process, transmit, and display Customer Content solely to provide and improve the Services and as directed by you (for example sharing within a workspace).

You represent that you have the rights needed to submit Customer Content and that it does not violate applicable law or third-party rights.

4. Acceptable use

You agree not to:

  • Use the Services for unlawful, harmful, fraudulent, or deceptive activity.

  • Attempt to gain unauthorised access to systems, accounts, or data.

  • Overload, disrupt, or bypass security or usage limits.

  • Reverse engineer the Services except where law permits.

  • Upload malware or content that infringes intellectual property or privacy of others.

5. Third-party services

Sign-in or integrations (for example Google OAuth) are subject to those providers' terms. We are not responsible for third-party services you choose to connect.

6. Confidentiality and privacy

Our Privacy Policy explains how we handle personal data. Workspace content may be visible to other members as permitted by workspace settings.

7. Intellectual property

Yirar owns the Services, branding, and underlying technology (excluding your Customer Content). Feedback you provide may be used without obligation to you.

8. Fees

If you subscribe to paid plans, fees and billing terms will be presented at purchase. Taxes may apply. We may suspend access for non-payment where contractually allowed.

9. Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YIRAR AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM OR ONE HUNDRED US DOLLARS (USD $100), IF YOU HAVE NOT PAID FEES.

Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the minimum permitted by law.

11. Indemnity

You will defend and indemnify Yirar against claims arising from your Customer Content, misuse of the Services, or breach of these Terms, except to the extent caused by our wilful misconduct.

12. Termination

You may stop using the Services at any time. We may suspend or terminate access for breach, risk, or legal requirement. Provisions that by nature should survive will survive termination.

13. Governing law and disputes

These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law rules. Courts located in Hong Kong have exclusive jurisdiction, subject to mandatory consumer protections in your country of residence where applicable.

Replace or refine this clause with your lawyer if you prefer arbitration or another venue for enterprise contracts.

14. Changes

We may modify these Terms by posting an updated version. Continued use after the effective date may constitute acceptance. If you do not agree, stop using the Services.
